1. Acceptance of Terms

Welcome to SCLEO. These Customer Terms & Conditions ("Terms") govern your access to and use of the SCLEO platform, including our website, customer portal, booking system, mobile applications, communications, and all services offered through SCLEO. By creating an account, requesting a service, booking a service, or using any part of the SCLEO Platform, you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced within these Terms. If you do not agree to these Terms, you may not use the SCLEO Platform. SCLEO may update these Terms from time to time. Continued use of the Platform after any updates become effective constitutes acceptance of the revised Terms.

2. About SCLEO

SCLEO is a technology marketplace that connects customers with independent service providers for home and property-related services. Customers use the SCLEO Platform to browse available services, request bookings, manage appointments, communicate when applicable, make secure payments, and access customer support. SCLEO reviews and approves providers before they are permitted to offer services through the Platform. However, provider approval does not guarantee future performance, availability, or suitability for every booking. All bookings must be made through the SCLEO Platform. Payments for services are processed through SCLEO's authorized payment systems. Providers are not permitted to request or collect payment directly from customers for bookings made through the Platform unless expressly authorized in writing by SCLEO. SCLEO may add, remove, modify, or discontinue services, features, service categories, or Platform functionality at any time.

3. Eligibility

To use the SCLEO Platform, you must: Be at least eighteen (18) years of age or otherwise have the legal capacity to enter into a binding agreement. Provide accurate, complete, and current information. Use the Platform only for lawful purposes. Comply with these Terms and all applicable laws. SCLEO reserves the right to suspend, restrict, or terminate access to the Platform if a user provides false information, violates these Terms, engages in fraudulent or unlawful conduct, or otherwise creates a risk to SCLEO, its customers, providers, or the Platform.

4. Customer Accounts

To access certain features of the Platform, you may be required to create a SCLEO account. You agree to: Provide accurate, complete, and current information at all times. Maintain the confidentiality of your account credentials. Notify SCLEO immediately if you suspect unauthorized access to your account. Accept responsibility for all activity that occurs under your account unless caused by a security issue within the SCLEO Platform. You may not: Create an account using false or misleading information. Use another person's account without authorization. Share your account credentials with others. Create multiple accounts to bypass restrictions or suspensions. SCLEO reserves the right to suspend or permanently terminate any account that violates these Terms or threatens the safety, security, integrity, or reputation of the Platform.

5. Booking Services

Customers may request services through the SCLEO Platform. A booking is not considered confirmed until: A qualified provider has been assigned or accepted. Payment has been successfully authorized or processed. A booking confirmation has been issued by SCLEO. Customers may request a preferred provider for future bookings by marking that provider as a favorite within the Platform. SCLEO will make reasonable efforts to assign the requested provider; however, provider assignments depend on availability, qualifications, scheduling, location, and other operational factors. SCLEO does not guarantee that a requested provider will be assigned. If no suitable provider is available, SCLEO reserves the right to decline or cancel a booking and issue any applicable refund in accordance with its Cancellation & Refund Policy.

6. Pricing

SCLEO strives to provide transparent pricing before a booking is confirmed. The price displayed during the booking process is based on the information provided by the customer. If the actual conditions at the service location differ materially from the information submitted during booking, additional charges may apply. Examples include, but are not limited to: Incorrect property size Additional rooms or areas not included in the original booking Excessive buildup or hazardous conditions Additional requested services Incorrect service category selected No additional work requiring additional charges will begin unless the customer is informed of the updated price and provides approval through SCLEO or another approved communication method. If the customer declines the updated price, the booking may be canceled or modified in accordance with SCLEO's Cancellation & Refund Policy.

7. Payments

All payments for bookings made through the SCLEO Platform must be processed through SCLEO's authorized payment systems. Providers may not request, accept, or collect payment directly from customers for bookings made through the Platform unless expressly authorized in writing by SCLEO. Payment authorization may occur at the time of booking. Charges may be finalized in accordance with the applicable service and SCLEO's Payment Terms. Customers are responsible for ensuring that their payment method is valid, current, and authorized to complete the transaction. If payment cannot be successfully processed, SCLEO may decline, suspend, or cancel the booking until payment has been successfully completed.

8. Customer Responsibilities

Customers are responsible for: Providing accurate information during the booking process. Ensuring that the property address and access instructions are correct. Providing a safe environment for providers to perform the requested services. Securing pets or notifying SCLEO of any animals present at the property. Removing or identifying any known hazards that could affect the safety of the provider. Being available, or ensuring authorized access is available, at the scheduled service time. Promptly communicating any changes that may affect the booking. Customers may not: Provide false or misleading booking information. Request services for unlawful purposes. Harass, threaten, discriminate against, or abuse providers or SCLEO personnel. Attempt to bypass the SCLEO Platform for bookings that originated through SCLEO. Pressure or encourage providers to perform work outside of the SCLEO Platform. Interfere with the provider's ability to perform services safely. Failure to comply with these responsibilities may result in booking cancellation, account suspension, or permanent removal from the Platform.

9. Property Access

Customers are responsible for ensuring that providers can safely access the property at the scheduled appointment time. Customers should provide: Accurate entry instructions. Gate codes, access codes, or other necessary information. Parking information when applicable. Notice of any conditions that may affect the provider's ability to perform the service. Providers may refuse to begin or continue a service if: The property cannot be safely accessed. Conditions present a safety risk. The booking information materially differs from the actual property. Required access is unavailable. Animals or other hazards create an unsafe working environment. If service cannot be completed due to customer-related access issues, the booking may be canceled and cancellation fees may apply in accordance with SCLEO's Cancellation & Refund Policy. Official SCLEO Policy Customers Customers may not knowingly solicit or encourage a provider they met through SCLEO to perform services outside the SCLEO Platform in order to avoid SCLEO's fees or policies. Doing so may result in: Account warnings. Suspension. Permanent removal from the SCLEO Platform. Cancellation of active bookings, where appropriate.

Providers Providers may not: Accept off-platform bookings from customers they met through SCLEO. Exchange contact information for the purpose of bypassing SCLEO. Advertise or promote their own business to SCLEO customers. Leave business cards, flyers, QR codes, or other marketing materials at a customer's property without SCLEO's written permission. Violations may result in: Immediate suspension while SCLEO investigates. Permanent removal from the SCLEO Platform. Loss of future booking opportunities. Other actions permitted under the Provider Agreement, subject to applicable law.

10. Prohibited Conduct

Customers may not: Provide false, misleading, or fraudulent information. Use the Platform for any unlawful purpose. Harass, threaten, intimidate, discriminate against, or abuse providers, SCLEO personnel, or other users. Damage or misuse the Platform. Attempt to interfere with the security or operation of the Platform. Submit false reviews or false claims. Attempt to manipulate pricing, payments, ratings, or bookings. Knowingly attempt to bypass the SCLEO Platform by arranging off-platform services with a provider first introduced through SCLEO. Encourage or pressure providers to violate SCLEO policies or agreements. SCLEO may investigate suspected violations and may suspend or permanently terminate accounts that violate these Terms.

11. Quality Assurance

SCLEO is committed to maintaining a high standard of service across the Platform. To support quality, safety, and accountability, SCLEO may require providers to complete quality assurance procedures before, during, or after a booking. Depending on the type of service, these procedures may include: GPS check-in and check-out. Arrival and completion timestamps. Before-and-after photographs where appropriate. Digital service completion checklists. Customer satisfaction ratings. Provider performance ratings. Service verification records. These records may be used by SCLEO for quality control, customer support, dispute resolution, fraud prevention, training, safety, and continuous improvement of the Platform. Failure to comply with required quality assurance procedures may result in warnings, suspension, or permanent removal from the Platform for providers.

12. Reviews & Ratings

Customers may leave honest, accurate, and respectful reviews regarding services received through the SCLEO Platform. Reviews must reflect the customer's genuine experience and may not contain: False or misleading statements. Defamatory, abusive, discriminatory, or threatening content. Spam or promotional material. Content unrelated to the completed booking. SCLEO reserves the right to review, remove, or moderate reviews that violate these Terms or applicable policies. Providers may also rate customers following completed bookings. These ratings may be used internally to promote safety, improve service quality, and maintain the integrity of the Platform.

13. Safety & Platform Integrity

The safety of customers, providers, and the integrity of the SCLEO Platform are top priorities. SCLEO reserves the right to investigate any report of: Fraud Theft Property damage Harassment Violence Discrimination Unsafe conduct False claims Policy violations Any activity that may threaten the safety, reputation, or integrity of the Platform During an investigation, SCLEO may temporarily suspend customer accounts, provider accounts, bookings, payments, or Platform access while the matter is reviewed. Users agree to cooperate with reasonable requests for information during any investigation. Providing false information during an investigation may result in permanent removal from the Platform.

14. Suspension & Termination

SCLEO may suspend, restrict, or permanently terminate access to the Platform if a user: Violates these Terms. Violates any SCLEO policy. Engages in fraudulent or illegal activity. Attempts to bypass the Platform. Creates a safety risk. Repeatedly receives verified complaints. Interferes with the operation of the Platform. For providers, SCLEO generally follows a progressive accountability process consisting of coaching, written warnings, temporary suspension, and mandatory retraining before permanent removal. However, SCLEO reserves the right to immediately suspend or permanently remove any provider or customer whose conduct involves serious misconduct, including but not limited to violence, theft, fraud, harassment, intentional property damage, falsification of records, or any behavior that places others at risk. Termination of Platform access does not eliminate any obligations or liabilities that arose before the termination.

15. Damage Claims

If a customer believes that property damage occurred during a service performed through the SCLEO Platform, the customer should report the issue to SCLEO as soon as reasonably possible. To help ensure a fair investigation, damage claims should be submitted within forty-eight (48) hours after completion of the service. Customers should provide, when available: A description of the alleged damage. Photographs or videos. The approximate date and time the damage was discovered. Any other information reasonably requested by SCLEO. SCLEO may investigate reported damage by reviewing available information, including booking records, provider statements, photographs, timestamps, GPS records, communications, and any other relevant evidence. Claims submitted more than forty-eight (48) hours after service completion may still be reviewed at SCLEO's discretion; however, delayed reporting may limit SCLEO's ability to investigate or determine responsibility. Where appropriate, SCLEO may facilitate communication between the customer and the provider in an effort to help resolve the matter. Nothing in these Terms guarantees that SCLEO will accept responsibility for, or provide reimbursement for, alleged damages.

16. Intellectual Property

All content made available through the SCLEO Platform, including but not limited to text, graphics, logos, icons, software, designs, trademarks, service marks, photographs, videos, layouts, and other materials, is owned by or licensed to SCLEO and is protected by applicable intellectual property laws. Users may access and use the Platform solely for its intended purpose. Users may not, without prior written permission from SCLEO: Copy, reproduce, distribute, or modify Platform content. Reverse engineer or attempt to extract source code from the Platform where prohibited by law. Use SCLEO trademarks, branding, or logos in a manner that suggests endorsement or affiliation. Create derivative works based on SCLEO intellectual property. Nothing in these Terms grants any ownership rights or license to use SCLEO's intellectual property except as expressly permitted.

17. Privacy

Your use of the SCLEO Platform is also governed by the SCLEO Privacy Policy, which explains how SCLEO collects, uses, stores, shares, and protects personal information. By using the Platform, you acknowledge that you have read and understood the SCLEO Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding the handling of personal information, the Privacy Policy will govern that specific issue.

18. Disclaimer of Warranties

The SCLEO Platform is provided on an "as available" and "as is" basis to the fullest extent permitted by applicable law. While SCLEO strives to maintain a reliable, secure, and high-quality Platform, SCLEO does not guarantee that: The Platform will always be available without interruption. The Platform will always be free of errors or technical issues. Every booking request will result in a completed service. Every provider will be available at a requested time. The Platform will meet every user's individual expectations. Nothing in this section limits any rights that cannot legally be limited under applicable law.

19. Limitation of Liability

To the fullest extent permitted by applicable law, SCLEO shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use of the Platform or services booked through the Platform. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law. Where permitted by law, SCLEO's total liability arising out of or relating to these Terms or the Platform shall not exceed the amount paid by the customer to SCLEO for the specific booking giving rise to the claim.

20. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless SCLEO, its affiliates, officers, directors, employees, agents, successors, and assigns from and against claims, liabilities, damages, losses, costs, and reasonable legal expenses arising out of or relating to: Your violation of these Terms. Your misuse of the Platform. Your violation of applicable laws. Your infringement of another person's rights. Information you submit through the Platform. This obligation survives termination of your use of the Platform.

21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Florida, without regard to its conflict of law principles, unless otherwise required by applicable law. Any legal proceedings relating to these Terms shall be brought in the appropriate courts located within the State of Florida, unless applicable law requires otherwise.

22. Changes to These Terms

SCLEO may modify these Terms from time to time. When material changes are made, SCLEO will update the "Last Updated" date and may provide additional notice through the Platform or by other reasonable means. Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms.
