1. Introduction
These Provider Terms & Agreement ("Agreement") govern the relationship between SCLEO ("SCLEO," "we," "our," or "us") and each independent provider ("Provider," "you," or "your") who offers services through the SCLEO Platform. By applying to become, accessing, or providing services through the Platform, you agree to be legally bound by this Agreement, the SCLEO Customer Terms & Conditions, Privacy Policy, Provider Code of Conduct, Payment Terms, and all other applicable SCLEO policies, each of which may be updated from time to time. If you do not agree to this Agreement, you may not provide services through the SCLEO Platform.
2. Independent Contractor Relationship
Providers using the SCLEO Platform are independent contractors and are not employees, partners, joint venturers, agents, or representatives of SCLEO. Nothing in this Agreement creates an employment relationship between SCLEO and any Provider. As an independent contractor, each Provider is solely responsible for: Complying with all applicable laws and regulations. Maintaining any required licenses, registrations, certifications, or permits. Paying all applicable taxes and governmental obligations. Providing their own equipment, supplies, and transportation unless otherwise agreed. Maintaining any insurance required by law or by SCLEO. Determining how services are performed, provided they comply with SCLEO standards and policies. Providers acknowledge that they are operating their own independent business while using the SCLEO Platform to connect with customers.
3. Provider Eligibility
To become or remain an approved Provider on the SCLEO Platform, applicants must meet SCLEO's eligibility requirements, which may include: Being legally authorized to work where services are performed. Providing accurate and complete application information. Successfully completing any required identity verification. Meeting SCLEO's quality and safety standards. Maintaining any required licenses, certifications, or insurance. Passing background screening where required by SCLEO or applicable law. Agreeing to comply with all SCLEO policies and procedures. Meeting these requirements does not guarantee approval. SCLEO reserves the right to approve, deny, suspend, or remove Providers at its discretion, subject to applicable law.
4. Provider Verification & Ongoing Compliance
To help maintain the safety, quality, and integrity of the SCLEO Platform, Providers may be required to successfully complete verification before providing services and periodically thereafter. Verification requirements may include: Identity verification. Background screening where permitted by applicable law. Proof of any licenses, certifications, or registrations required for the services offered. Proof of insurance where required by SCLEO or applicable law. Verification of eligibility to perform services. Submission of any additional documentation reasonably requested by SCLEO. Providers agree to promptly notify SCLEO of any material changes affecting their eligibility, including expired licenses, insurance changes, legal restrictions, or other circumstances that may impact their ability to provide services. SCLEO may request updated documentation or conduct periodic re-verification to support safety, fraud prevention, legal compliance, and quality assurance. Failure to satisfy verification requirements may result in suspension or removal from the Platform.
5. Accepting & Completing Bookings
Providers are responsible for reviewing booking requests and accepting only those they are able to complete professionally and on time. Once a booking is accepted, Providers agree to: Arrive on time. Perform services professionally and with reasonable care. Follow all applicable SCLEO policies and quality standards. Communicate promptly regarding delays or issues. Complete services as described in the booking. Respect customer property and privacy. Complete required quality assurance procedures. Accurately update booking statuses through the Platform. Providers may not accept bookings on behalf of another individual unless expressly authorized by SCLEO.
6. Quality Standards
Providers agree to maintain professional service standards at all times. Quality requirements may include: GPS check-in and check-out when required. Accurate arrival and completion timestamps. Before-and-after photographs where appropriate. Digital service completion checklists. Compliance with SCLEO service standards. Professional communication with customers. Safe performance of services. Compliance with applicable laws and regulations. Repeated failure to meet SCLEO quality standards may result in coaching, written warnings, temporary suspension, mandatory retraining, or permanent removal from the Platform.
7. Provider Cancellations
Providers are expected to honor all accepted bookings and provide reliable service. If a Provider is unable to complete an accepted booking due to illness, emergency, unsafe conditions, vehicle breakdown, or another legitimate circumstance, the Provider must notify SCLEO as soon as reasonably possible through the Platform or other approved communication channels. Providers should not cancel accepted bookings for avoidable reasons, including poor scheduling, accepting conflicting work, or simply choosing not to complete the service. Repeated avoidable cancellations may negatively affect a Provider's standing on the Platform and may result in coaching, written warnings, temporary suspension, mandatory retraining, or permanent removal. SCLEO reserves the right to reassign cancelled bookings to another qualified Provider in order to minimize disruption to customers.
8. Provider Conduct
Providers are expected to conduct themselves professionally at all times while representing services offered through the SCLEO Platform. Providers agree to: Treat customers with professionalism, courtesy, and respect. Respect customer privacy and property. Communicate honestly and professionally. Maintain a clean, professional appearance appropriate for the services provided. Perform services safely and responsibly. Follow all SCLEO policies and procedures. Comply with all applicable laws and regulations. Providers must not: Harass, threaten, intimidate, or discriminate against customers or others. Engage in fraudulent, deceptive, or dishonest conduct. Perform services while impaired by alcohol or illegal drugs. Damage customer property intentionally or through reckless conduct. Falsify booking records, GPS records, photographs, timestamps, or other Platform information. Allow another person to perform bookings under their account without SCLEO's authorization.
9. Off-Platform Solicitation
Providers may not use the SCLEO Platform to obtain customers for services performed outside the Platform. Without prior written authorization from SCLEO, Providers may not: Encourage customers to book future services outside the Platform. Exchange business cards, promotional materials, QR codes, or advertisements for the purpose of bypassing SCLEO. Accept direct payment from customers for bookings initiated through the Platform. Attempt to avoid SCLEO's fees or booking process. Direct customers to another business or booking platform for substantially similar services. Violations of this section may result in immediate suspension or permanent removal from the Platform and any other action permitted by this Agreement or applicable law.
10. Ratings, Reviews & Performance Metrics
Customer ratings, reviews, booking history, quality scores, performance metrics, and other reputation information generated through the SCLEO Platform are part of the Platform and are maintained by SCLEO. Providers retain ownership of their independent business; however, Platform-generated ratings, reviews, booking history, and performance information remain associated with the Provider's SCLEO account and may not be copied, transferred, manipulated, or represented as originating from another platform. SCLEO reserves the right to use Platform-generated performance information for quality assurance, customer matching, fraud prevention, provider evaluations, safety initiatives, recognition programs, and continuous improvement of the Platform. SCLEO may remove or moderate reviews that violate Platform policies or applicable law.
11. Payments
Payments for services booked through the SCLEO Platform are processed by SCLEO or its authorized payment providers. Providers acknowledge that: Customers pay SCLEO through the Platform. Providers may not collect payment directly from customers for Platform bookings. Provider payouts will be calculated in accordance with the SCLEO Payment Terms. Applicable fees, refunds, adjustments, chargebacks, or other authorized deductions may affect payouts where permitted by applicable agreements and law. Payout schedules may vary depending on payment processing timelines and verification requirements. Providers are responsible for ensuring that their payout information remains accurate and up to date.
12. Taxes
Providers are solely responsible for determining, reporting, and paying all taxes, duties, fees, and other governmental obligations arising from their participation on the SCLEO Platform, unless otherwise required by applicable law. SCLEO does not provide tax, accounting, or legal advice. Providers are encouraged to consult qualified professionals regarding their individual obligations.
13. Tips & Gratuities
Customers may choose to provide voluntary tips to Providers through the SCLEO Platform where available. SCLEO does not require customers to leave tips, and Providers may not pressure, solicit, or require customers to provide gratuities. All voluntary tips paid through the SCLEO Platform belong entirely to the Provider who performed the service. SCLEO does not retain, deduct, or collect any percentage of customer tips. Tips are separate from Platform fees and are not considered payment for access to or use of the SCLEO Platform. Providers are solely responsible for complying with any applicable tax reporting obligations relating to tips received.
14. Insurance & Liability
Providers are responsible for maintaining any insurance required by applicable law or by SCLEO for the services they perform. Providers acknowledge that they are responsible for their own actions, omissions, equipment, vehicles, and business operations while providing services through the Platform. Nothing in this Agreement shall be interpreted as creating insurance coverage by SCLEO for Providers unless expressly stated in a separate written agreement. Providers agree to promptly report any accident, injury, property damage, or other significant incident occurring during a booking.
15. Suspension & Termination
SCLEO may suspend, restrict, or permanently remove a Provider from the Platform if the Provider: Violates this Agreement. Violates SCLEO policies or standards. Fails to maintain eligibility requirements. Engages in fraud, theft, harassment, violence, discrimination, or other serious misconduct. Attempts to bypass the Platform. Falsifies records or verification information. Repeatedly fails to meet quality standards. Receives repeated verified complaints. Creates a safety or security risk. Except in cases involving serious misconduct, SCLEO generally follows a progressive accountability process consisting of coaching, written warnings, temporary suspension, and mandatory retraining before permanent removal. SCLEO reserves the right to immediately suspend or permanently remove any Provider whose conduct presents an immediate safety, legal, or reputational risk to the Platform.
16. Inactive Provider Accounts
To maintain an active and reliable marketplace, SCLEO may deactivate Provider accounts that remain inactive for a continuous period of six (6) months. For purposes of this Agreement, inactivity may include, but is not limited to: Not accepting bookings. Not completing services through the Platform. Failing to maintain required verification or eligibility requirements. Failing to respond to reasonable communications from SCLEO regarding continued participation on the Platform. Where reasonably practical, SCLEO may provide notice before deactivating an inactive Provider account. A deactivated Provider may request reactivation or may be required to submit a new application, updated verification documents, or other information requested by SCLEO before being permitted to resume providing services through the Platform. Deactivation for inactivity does not affect any obligations, investigations, payments, or liabilities that arose before the account was deactivated.
17. Provider Responsibilities to Maintain Accurate Information
Providers are responsible for keeping all information associated with their SCLEO account accurate, complete, and up to date. Providers must notify SCLEO within seven (7) calendar days of any material change affecting their account or eligibility, including but not limited to: Legal name changes. Changes to phone number or email address. Changes to business or mailing address. Updates to payout or banking information. Expiration, suspension, or revocation of any required license, certification, registration, or permit. Changes to required insurance coverage. Any legal restriction that materially affects the Provider's ability to perform services through the Platform, where disclosure is permitted or required by applicable law. Any other material information that may affect the Provider's eligibility or ability to provide services. Failure to provide timely notice may result in delayed payouts, temporary suspension, or removal from the Platform where appropriate.
18. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Florida, without regard to its conflict of law principles, unless otherwise required by applicable law. Any legal proceedings relating to this Agreement shall be brought in the appropriate courts located within the State of Florida, unless applicable law requires otherwise.
19. Changes to This Agreement
SCLEO may modify this Agreement from time to time. When material changes are made, SCLEO will update the "Last Updated" date and may provide additional notice through the Platform or by other reasonable means. Continued use of the Platform after updated terms become effective constitutes acceptance of the revised Agreement where permitted by applicable law.
